Acceptance of Terms
Welcome to SKIP ("Platform") including any mobile applications, websites, browser extensions, and any other downloadable application that we provide as part of our product ("Product") including all of the Content (defined below). The Platform is hosted on third-party service providers' servers in the Indian region. The Website, Product, Content and any service provided shall collectively be referred to as "Services."
The Platform is operated and owned by RSE, a sole proprietorship established under the laws of India, having its principal place of business at [ADDRESS TO BE UPDATED], Bommanahalli, Bengaluru, Karnataka, India (“We” / “Us” / “Our” / “SKIP”).
These terms and conditions ("Terms of Use") are an agreement between Us and You ("User" / "You" / "Your"). This Agreement sets forth the general terms and conditions of Your use of the Services and any of its products or services. Your access to the Services and use of the Services is conditional on Your acceptance of and compliance with these Terms of Use as well as the Privacy Policy (defined below). We and the User are each a "Party" and collectively the "Parties."
These Terms of Use shall apply to all visitors, Users, Skippers (defined below), and others who access the Services. By accessing or using the Services You agree to be bound by these Terms of Use. These Terms of Use shall be read along with the terms and conditions under our Privacy Policy.
We reserve the right to change these Terms of Use from time to time without prior notice. You acknowledge and agree that it is Your responsibility to review these Terms of Use periodically to familiarize yourself with any modifications. Your continued use of this Services after such modifications will constitute acknowledgement and agreement of the modified terms and conditions.
Use of Services is available only to persons who can form a legally binding contract under the laws of India. If You are a minor (i.e., under 18 years of age), You may use the Services only with the involvement of a parent or guardian.
Definitions
For the purpose of these Terms of Use:
- “Platform” refers to the SKIP mobile application, website, and all associated services.
- “User” / “Customer” refers to any person who uses the Platform to request a service (pick up, drop off, delivery, errand, or any task).
- “Skipper” refers to an independent contractor who accepts and fulfils service requests through the Platform using their own vehicle.
- “Service Request” refers to any task, delivery, pick-up, drop-off, or errand booked by a User through the Platform.
- “Content” refers to all text, graphics, images, data, information, and other materials published, featured, or displayed on or through the Platform.
- “GST” refers to Goods and Services Tax as applicable under Indian tax laws.
Description of Services
SKIP is a technology platform that connects Users with Skippers for hyperlocal services including but not limited to:
- Pick-up and drop-off of items (documents, parcels, personal items)
- Purchase and delivery of goods from local shops (pharmacy, bakery, grocery, etc.)
- Emergency deliveries (medicine, forgotten items, fuel)
- Any other lawful errand or task that can be performed by a Skipper on a two-wheeler
SKIP is a platform, not a logistics company. We do not own vehicles, employ Skippers, or directly perform deliveries. Skippers are independent contractors who use the Platform to find and accept service requests. The relationship between SKIP and Skippers is governed by a separate Independent Contractor Agreement.
Responsible Use and Conduct
In order to access the Services, You may be required to provide certain information about yourself (such as name, email, phone number, contact details, etc.) as part of the registration process. You agree that any information You provide will always be accurate, correct, and up to date.
You are responsible for maintaining the confidentiality of any login information. Accordingly, You are responsible for all activities that occur under Your account.
Accessing (or attempting to access) any of Our Services by any means other than through the means We provide, is strictly prohibited. You specifically agree not to access (or attempt to access) any of the Services through any automated, unethical, or unconventional means.
Engaging in any activity that disrupts or interferes with the Services, including the servers and/or networks to which the Services are located or connected, is strictly prohibited.
Attempting to copy, duplicate, reproduce, sell, trade, or resell Our resources is strictly prohibited.
You are solely responsible for any consequences, losses, or damages that We may directly or indirectly incur or suffer due to any unauthorized activities conducted by You, and may incur criminal or civil liability.
Privacy
Your privacy is very important to us, which is why we have created a separate Privacy Policy in order to explain in detail how we collect, manage, process, secure, and store your private information. Our Privacy Policy is included under the scope of these Terms of Use. To read our Privacy Policy in its entirety, please refer to the separate Privacy Policy document ("Privacy Policy").
User Accounts
In consideration of Your use of the Services, you agree to: (a) maintain and promptly update any information You provide Us, to keep it accurate, current and complete; (b) maintain confidentiality and security of your password and identification; (c) notify Us immediately of any unauthorized use of your account or other breach of security; (d) accept all responsibility for any and all activities that occur under your account; and (e) accept all risks of unauthorized access to information and data associated with your account.
We will not be liable for Our losses or such other parties' losses, as the case may be, due to any unauthorized use of Your account.
Inactive User Accounts. We reserve the right to terminate User accounts that are inactive for a continuous period of 180 (one hundred and eighty) days. In the event of such termination, all data associated with such User account will be deleted in accordance with the DPDP Act, 2023. We will provide You prior notice of such termination and option to back-up your data.
Service Booking and Pricing
- Fare Structure: The fare for each Service Request is calculated based on distance, task time, and applicable taxes. The estimated fare is displayed to the User before confirmation of the Service Request.
- Base Fare: The Base Fare includes all platform charges. The exact fare may vary based on actual distance traveled and time taken to complete the task.
- GST:Goods and Services Tax at the applicable rate (currently 18%) is charged on the platform component of the fare and is displayed separately as “Taxes” in the fare breakdown.
- Payment Methods: Payment can be made via UPI, digital wallets, net banking, credit/debit cards, or cash (where available). The available payment methods may change from time to time.
- Fare Changes: We reserve the right to modify the fare structure from time to time. Any changes will be communicated to Users through the Platform.
Cancellation and Refund Policy
- User Cancellation (Before Skipper Assignment): Free cancellation with full refund.
- User Cancellation (After Skipper Assignment, Before Pickup): A cancellation fee of up to Rs. 25 may apply, which will be paid to the Skipper for time and effort.
- User Cancellation (After Pickup): No refund. The User is liable for the full fare as the Skipper has already commenced the task.
- Skipper Cancellation: If a Skipper cancels after accepting a Service Request, the User will not be charged, and a new Skipper will be assigned automatically.
- Damaged or Lost Items:Claims for damaged or lost items must be reported within 24 hours of delivery. SKIP’s liability is limited to the declared value of the item, subject to a maximum of Rs. 5,000 per Service Request, unless otherwise agreed in writing.
- Refund Processing: Approved refunds will be processed within 5-7 business days to the original payment method.

Prohibited Items and Activities
Users are strictly prohibited from using the Services to transport, deliver, or handle:
- Illegal substances, narcotics, or controlled drugs
- Weapons, ammunition, explosives, or flammable materials
- Hazardous chemicals, toxic substances, or radioactive materials
- Stolen goods or contraband
- Live animals (unless in appropriate carriers and pre-approved)
- Perishable goods that require temperature-controlled transport (unless specifically agreed)
- Cash or negotiable instruments exceeding Rs. 10,000 in value
- Alcohol or tobacco products (where prohibited by law)
- Any item prohibited under the laws of India
Any violation of this section will result in immediate termination of Your account and may be reported to law enforcement authorities.
Limitation of Liability
You expressly understand and agree that any claim against Us shall be limited to 25% (twenty-five percent) of the amount You paid, if any, for use of Services in the 3 (three) months preceding the claim. We will not be liable for any direct, indirect, incidental, consequential or exemplary loss or damages which may be incurred by You as a result of using the Services, or as a result of any changes, data loss or corruption, cancellation, loss of access, or downtime to the full extent that applicable limitation of liability laws apply.
SKIP is not liable for:
- The actions, omissions, or negligence of Skippers during the performance of Service Requests
- Loss, damage, or theft of items during transit, beyond the limits specified in the Refund and Cancellation Policy
- Delays caused by traffic, weather, or other circumstances beyond Our control
- Any claims arising from the transport of prohibited items
- The quality, safety, or legality of items transported through the Platform
Copyrights / Trademarks
All content and materials available on the Platform, including but not limited to text, graphics, name, code, images and logos are Our intellectual property and are protected by applicable copyright and trademark law. Any inappropriate use, including but not limited to the reproduction, distribution, display or transmission of any content on the Services is strictly prohibited unless specifically authorized by Us.
This Terms of Use does not transfer to you any intellectual property owned by Us or third parties, and all rights, titles, and interests in and to such property will remain (as between the Parties) solely with Us. All trademarks, graphics and logos used in connection with our Services are Our trademarks or Our registered trademarks or Our licensors'. Your use of the Services grants You no right or license to reproduce or otherwise use any of Our or third-party trademarks.
Disclaimers
YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE, OUR PARTNERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND OTHER REPRESENTATIVES, EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, WE MAKE NO WARRANTY THAT: (I) THE SERVICES WILL MEET YOUR REQUIREMENTS; (II) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (III) INFORMATION OBTAINED VIA THE SERVICES WILL BE ACCURATE OR RELIABLE; (IV) THE QUALITY OF ANY SERVICES OBTAINED BY YOU WILL MEET YOUR EXPECTATIONS; AND (V) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.
Indemnification
You agree to indemnify and hold Us harmless, and Our affiliates, and their directors, officers, employees, agents, and licensors, from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of these Terms of Use or the failure to fulfil any obligations relating to your account incurred by you or any other person using your account. We reserve the right to take over the exclusive defence of any claim for which we are entitled to indemnification under these Terms of Use.
Termination of Use
You agree that We may, at Our sole discretion, suspend or terminate Your access to all or part of our Services with or without notice and for any reason, including, without limitation, breach of this Terms of Use. Any suspected illegal, fraudulent or abusive activity may be grounds for terminating Your relationship and may be referred to appropriate law enforcement authorities. Upon suspension or termination, your right to use the Services provided by us will immediately cease, and we reserve the right to remove or delete any information that you may have on file with Us, including any account or login information, in accordance with the DPDP Act, 2023.
Communications From Us
By registering for the Services, You consent to receiving communications from Us, including but not limited to:
- Transactional messages: Order confirmations, delivery updates, payment receipts, and service-related notifications via SMS, push notifications, email, and WhatsApp.
- Service messages: Platform updates, policy changes, and feature announcements.
- Promotional messages: Special offers, discounts, and marketing communications (subject to separate WhatsApp Communication Consent).
You may opt out of promotional communications at any time by contacting us at skip.it.hq.blr@gmail.com or by following the unsubscribe instructions in the communication.
Governing Law and Dispute Resolution
These Terms of Use shall be governed and construed in accordance with the laws of India.
Dispute Resolution: If any dispute or difference of any kind whatsoever shall arise between the Parties in connection with or arising out of these Terms of Use and Privacy Policy (whether before or after the termination), the concerned representatives of the Parties shall promptly and in good faith negotiate with a view to an amicable resolution and settlement of the dispute. In the event no amicable resolution or settlement is reached within a period of 30 (thirty) days, such dispute or difference shall be referred to a sole arbitrator mutually appointed by the Parties, or upon the failure of the Parties to agree upon a sole arbitrator within a period of 10 (ten) days, each Party shall appoint 1 (one) arbitrator each and the 2 (two) appointed arbitrators shall appoint the third arbitrator who shall act as the presiding arbitrator. Arbitration shall be conducted in accordance with the provisions of the Indian Arbitration and Conciliation Act, 1996 and any amendments thereof. The arbitration proceedings shall be held at Bengaluru, India. The existence of any dispute shall not postpone or delay the performance by the Parties of their respective obligations pursuant to these Terms of Use.
Jurisdiction: You hereby agree to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India, and waive any jurisdictional, venue, or inconvenient forum objections to such courts.
Notice
We may provide any notice to the User under these Terms of Use by sending a message to the email address or phone number then associated with User's account. Notices provided by email will be effective when the email is sent.

Force Majeure
We shall not be liable for any failure to perform Our obligations under these Terms of Use where such failure results from any cause beyond Our reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation, acts of God, natural disasters, government orders, pandemics, strikes, civil unrest, or any other circumstances beyond Our control.
Severability
If any provision of these Terms of Use is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms of Use will not be considered a waiver of those rights.
Entire Agreement
These Terms of Use, together with the Privacy Policy, Refund and Cancellation Policy, and any other policies published on the Platform, constitute the entire agreement between You and Us regarding Your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
